Associate General Counsel

Position Summary

 

The primary role of this newly created position is to assist CREA’s General Counsel in various legal matters involving all of CREA’s departments. The incumbent must be familiar with real estate transactions and be able to effectively communicate with CREA personnel, CREA’s outside counsel, developers, lenders, third-party vendors and consultants.  Job responsibilities include:

 

Primary duties and responsibilities:

  • Drafting, reviewing, and negotiating letters of intent, partnership agreements, loan documents, assignments, and other ancillary documents in connection with LIHTC transactions
  • Reviewing, drafting and advising on entity structuring, general corporate governance documents (e.g. consents, resolutions, filings, etc.) and policies and procedures for various CREA departments and endeavors
  • Assisting the closing teams and other internal groups with due diligence, title and survey matters, and other general legal matters in connection with a project closing
  • Assisting CREA’s asset management department with various real estate matters (e.g., title/survey issues, reviewing/negotiating condominium documents, easement agreements, licensees, etc.) and reviewing loan documents
  • Reviewing and negotiating vendor contracts and other general business agreements
  • Researching, analyzing and drafting memos related to internal legal matters and other industry issues
  • Other duties as requested by General Counsel

 

Requirements:

This position requires a law degree (juris doctorate) and a minimum of 3-5 years of legal experience in general corporate, mergers and acquisitions, or real estate matters. A bachelor’s degree or MBA in Finance or Business Administration or a related field is preferred. Candidate must have excellent communication skills and the ability to comfortably interact with senior management internally and a large external client base. Some overtime at certain times of the year is required. Must be proficient with Microsoft Office Suite with a heavy emphasis on Excel and Word. Must possess and be able to demonstrate effectiveness with each of the following Key Attributes:
